The software & your license
- Prism is proprietary software, © 2025-2026 Reportil Ltd. All rights reserved.
- Reportil grants a non-exclusive, non-transferable licence to use Prism per seat for your internal business use, under your license agreement. Copying, modification, redistribution, resale, sublicensing, and reverse-engineering require Reportil's prior written permission - except for acts the law says cannot be excluded, such as making back-up copies and correcting errors in normal use. (Prism makes its own daily backup of your database; that is of course permitted.)
- Circumventing, disabling, or tampering with the software's licensing or security is not permitted.
- Licenses are per named user (email). Seats may be reassigned as your team changes. Seat emails are stored on our license server to validate seats - see the privacy notice. You agree to tell registered users that their work email is held by Reportil for licensing.
- Customer reference. By purchasing a license you agree that Reportil may show your company name and logo on phrizm.com to identify you as a customer. You can withdraw this at any time - email reportil@reportil.com and the logo comes down promptly, with no effect on your license. Your logo remains yours, and we will not use it in any other way without asking.

Your data
- Your data is yours. Prism runs on your hardware and Reportil keeps no copy of your projects, tasks, files, or engineering data. On license expiry the product locks new work but never your data - export remains available.
- The product's only transmission is a short license heartbeat (license id, instance id, app version, build hash, and how the install takes updates - nothing personal). The full inventory is on the Network page.
- You choose whether Prism updates itself, asks first, or downloads nothing at all and leaves an admin to fetch and verify each build. That setting is yours and overrides anything we advertise; a managed install can remove the capability entirely. See the deployment guide.
- What Reportil does hold is the licensing side: your order, seat emails, billing records, and support messages you send us. The privacy notice covers those, and a data-processing addendum is available on request. When your license ends, we delete or anonymize them once no longer needed, except records the law makes us keep.

Fees, payment & renewals
- Prism is sold to businesses, for business use.
- Fees are as stated in your license agreement or order. Online payments are handled by our payment provider (Yaad Sarig / HYP); prices are shown before you pay and are exclusive of any applicable taxes (e.g., VAT) unless stated otherwise.
- Self-serve subscriptions renew monthly: the payment method you authorized at signup is charged automatically each month until you cancel from Settings → Billing, effective at the end of the paid month. Term licenses are prepaid and continue only while paid - we never start a charge ourselves, and we email you if a license lapses.
- Except where required by law or expressly agreed in writing, fees paid are non-refundable; if you believe a charge is in error, contact us and we'll put it right.

Support
- The Service & Guarantee plan defines our support commitments (next-business-day response, priority bug fixes, restore & recovery help). Support scope is as described in that plan and your agreement.
- If our team handles any of your data during restore & recovery help, we do so on your instructions only, keep it confidential, and keep it no longer than the ticket needs - see the privacy notice.

Warranty & liability
- Except as expressly stated in your signed agreement or the Service & Guarantee plan, the software is provided "as is," without warranties of any kind, to the fullest extent permitted by law. The Service & Guarantee plan is an express commitment and is not disclaimed by this clause.
- To the fullest extent permitted by law, Reportil is not liable for indirect, incidental, or consequential loss, and Reportil's total liability arising out of the software or these terms is limited to the fees you paid in the 12 months before the claim. This exclusion and cap do not apply to death or personal injury, fraud, wilful misconduct, gross negligence, or any other liability that cannot be limited by law - including rights individuals have under data-protection law.

This website
- Site content (text, graphics, the Prism name and logo) belongs to Reportil or its licensors and may not be reused without permission. Customer logos appear with their owners' permission - given at purchase (clause 01) or separately - and remain theirs.
- Product illustrations on this site are demonstrations with fictional data.

Changes, governing law & contact
- These terms cover the on-premises Prism product and this website. Prism Cloud, where offered, has its own terms.
- We may update these website terms; the current version is the one posted here.
- If you connect your own AI provider or email account inside Prism, that traffic runs under your agreement with that provider - Reportil is not a party to it. Note that it can carry personal data about your team: the assistant can be asked about a tagged colleague and retrieves that person's task rows to answer. You decide whether to enable AI at all and who may use it, and your company remains the controller for whatever it sends. What the feature does, who it lets ask, and where its safeguards stop are set out in clause 06 of the privacy notice - read it before switching AI on.
- These terms are governed by the laws of the State of Israel, and the courts of Israel have exclusive jurisdiction, unless your signed agreement provides otherwise. Nothing in this clause limits data-protection rights you or your team have under applicable law.
